You screen them carefully, test their capabilities, and make sure they are ready for the role. But once that decision is made, the real work begins. You have to be explicit about how they are allowed to operate.
With people, this is relatively straightforward. Employment agreements, approval limits, and company policies set expectations, while judgment and common sense handle the rest. Humans understand context. They recognize when something feels off. Autonomous AI agents do not. If expectations are unclear, they will follow instructions literally and relentlessly.

Why Clarity Matters
Most problems with Agentic AI don’t come from bad intent or faulty models. They come from vague instructions.
An agent told to increase revenue may push boundaries that leadership never intended. An agent asked to reduce operational costs may remove safeguards that were assumed to be off limits. These outcomes are rarely surprising in hindsight. They happen because the rules were never written down.

Defining the Job
Every effective Charter starts with a clear mission. Too often, AI agents are given a list of tasks instead of a defined outcome. Tasks describe activity. Outcomes define success.
Rather than asking an AI agent to “handle customer support,” a Charter should state something more concrete, such as resolving Tier 1 billing questions quickly while maintaining acceptable customer sentiment. That level of clarity gives the agent direction without leaving room for interpretation that could backfire.
Balance is just as important. If speed is the goal, quality must also be measured. A counter-metric, such as customer satisfaction, ensures the agent does not rush through work simply to hit a time target. This is how organizations avoid scenarios where an AI technically meets its goal while creating new problems elsewhere.
Finally, the Charter needs to spell out what is non-negotiable. Certain values, policies, and regulatory obligations are never optional. An AI focused on profitability can’t ignore supplier standards or compliance requirements to reduce costs. Performance that violates these rules is not successful.
Setting Clear Boundaries
Once the mission is defined, the next step is deciding where the agent can operate and how much authority it has.
System access should be specific and intentional. If an AI agent needs to read customer data from a CRM, that access should not extend to financial systems or unrelated databases. Permissions should match the job, nothing more.
Financial authority should be equally clear. An autonomous procurement agent might be allowed to reorder routine supplies within a set budget, but anything beyond that should require human approval. These limits protect both the organization and the agent itself.
Interaction rules matter as well. Some agents may only communicate internally, while others can engage with approved vendors. Without these guidelines, agents can unintentionally cross boundaries simply because no one told them otherwise.
Time also plays a role. Always-on AI can be powerful, but there are situations where limits make sense. Defining operating hours or review intervals helps prevent unintended behavior during periods of volatility or low oversight.
Clear boundaries do not slow AI down. They remove uncertainty and allow agents to operate confidently within known limits.
Knowing When to Pause
Speed is one of the main advantages of Agentic AI, but it also introduces risk. The Charter should define exactly when an agent needs to stop and ask for help.
Transparency comes first. Any AI interacting with people should clearly identify itself as a digital worker. This builds trust and avoids confusion.
Confidence thresholds provide another safeguard. When an agent is uncertain about a decision, that uncertainty should trigger escalation. The rule is simple: when confidence drops, human review steps in.
Finally, there must be a clear process for shutting an agent down when something goes wrong. Unusual spikes in activity, unexpected access to sensitive data, or signs of erratic behavior should all trigger an immediate pause. These controls act as safety valves, allowing teams to intervene before issues escalate.
Making Governance Part of the Design
Managing Agentic AI requires a shift in mindset. Instead of assuming systems will behave appropriately, organizations must design governance directly into how those systems operate.
When expectations are vague, authority is unclear, and oversight is reactive, AI becomes difficult to trust. When missions, boundaries, and escalation paths are defined upfront, AI becomes a reliable part of the workforce.
This approach also makes scale possible. When every AI agent is governed by the same structure, deploying additional agents does not add chaos. It adds capacity.
